01Who we are and what these terms cover
In these terms, “Root4Tech”, “we”, “us” and “our” mean Root4Tech, a digital agency with offices in Whitby, Ontario, Canada and Lahore, Pakistan. “You” and “the client” mean the person or business using the Website or buying our services.
These terms apply to all of our services, including web design and development, e-commerce, hosting, website maintenance, email and domains, branding and graphic design, video and photography, SEO, social media, paid advertising (including Google, Meta and ChatGPT Ads), email marketing and training courses.
Where a signed proposal, quote or service agreement says something different from these terms, the signed document takes priority for that project.
02Quotes, proposals and project scope
Before we start, we agree the work in writing. A proposal or quote sets out the deliverables, the timeline, the price and any payment plan.
- Quotes are valid for 30 days unless the quote states otherwise.
- The scope covers only what is listed. Anything not listed is out of scope and is quoted separately.
- Package descriptions on the Website (for example page counts, revisions or build times) are typical figures. Your proposal is the final description of what you receive.
03Fees, deposits and payment
- Most projects start with a deposit. We begin work once the deposit is received.
- Payment plans are available on request and are set out in your proposal.
- Invoices are due within 14 days of the invoice date unless your proposal says otherwise.
- Ongoing services such as maintenance, hosting and campaign management are billed in advance for each period.
- Prices do not include taxes. VAT, sales tax or similar taxes are added where they apply.
- If an invoice is overdue, we may pause work, hosting or campaigns until it is paid. We will tell you before we do.
Deposits cover planning and the work completed in the first stage, so they are non-refundable once that work has started.
04Your responsibilities
Good results depend on working together. You agree to:
- provide content, images, logins and feedback when we ask for them;
- make sure anything you send us (text, images, logos, data) is yours to use, or that you have permission to use it;
- check and approve work at each stage; and
- keep a copy of your own important data and content.
Delays in content or feedback can move the timeline. If a project is on hold for more than 60 days because we are waiting on you, we may invoice the work completed so far and close the project.
05Timelines, approvals and revisions
Timelines in proposals are estimates based on the agreed scope and on receiving content and feedback on time.
- Each design stage includes the number of revision rounds stated in your package or proposal.
- Once you approve a stage, further changes to that stage are treated as change requests.
- Change requests and new features are quoted before we do them, and may change the timeline.
06Ownership and intellectual property
- When your project is paid in full, you own the final deliverables we create specifically for you, such as your logo, brand files, website design and written content.
- Until full payment, Root4Tech keeps ownership of the work and you may use it only for review.
- Third-party items we use, such as themes, plugins, fonts and stock images, stay under their own licences. Some licences are renewed yearly; we will tell you when that applies.
- Our own tools, templates and general know-how remain ours and may be reused in other projects.
- Unless you ask us not to, we may show completed work in our portfolio and on social media. We never share confidential information.
07Hosting, maintenance, email and domains
- Maintenance plans run on a rolling monthly contract and can be cancelled at any time with notice before the next billing date.
- Domains are registered in your name where the registrar allows it. Renewals are your responsibility unless they are included in your plan.
- We take reasonable steps to keep hosted websites secure, updated and backed up, but no system is completely secure and we cannot guarantee uninterrupted service.
- Hosting, email and other services provided by third parties (for example Microsoft 365) are also subject to that provider’s own terms.
08Marketing and advertising services
- Our fees cover the management work described in your package. Advertising spend is separate and is paid by you directly to the advertising platform.
- Platforms such as Google, Meta and ChatGPT set their own rules, approvals and minimum budgets. Eligibility and available features must be confirmed before a campaign can launch.
- We work to improve rankings, traffic, leads and sales, but results depend on factors outside our control, such as competition, budgets and platform changes. Results are not guaranteed.
- You are responsible for making sure your products, offers and claims are lawful and accurate.
09Training courses
- A place on a course is confirmed once the enrollment form is received and the course fee or first installment is paid.
- Course content, schedules and trainers may change to keep training current. We will tell enrolled students about any significant change.
- Course materials are for your personal learning and may not be resold or shared publicly.
10Confidentiality and privacy
We keep your business information, logins and data confidential and use them only to deliver our services. How we handle personal information is explained in our Privacy Policy.
11Using our website
- Content on the Website, including text, graphics and our logo, belongs to Root4Tech or our clients and may not be copied without permission.
- The Website may link to other websites. We are not responsible for their content or practices.
- We aim to keep the Website accurate and available, but information may change and the Website may sometimes be unavailable.
12Limitation of liability
We carry out our work with reasonable skill and care. To the extent the law allows:
- we are not liable for indirect losses, such as lost profits, lost data or lost business opportunities;
- we are not liable for problems caused by third-party services, platforms, hosting providers or your own changes to the work; and
- our total liability for any project is limited to the fees you paid us for that project in the previous 12 months.
Nothing in these terms limits liability that cannot be limited by law.
13Ending a project or service
- Either side may end a project by giving written notice.
- If a project ends early, you pay for the work completed up to that point, and we hand over the paid-for work.
- We may end our services if invoices remain unpaid or if these terms are seriously breached.
14Changes to these terms
We may update these terms from time to time. The latest version will always be on this page with its “last updated” date. Changes do not affect projects already agreed in a signed proposal.
15Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. If we have a disagreement, we will first try to resolve it informally by talking to each other.
